Selected Problems in Securities Regulation

LAW 536-01 Selected Problems in Securities Regulation Seminar 3 credits
This year, the seminar will focus on securities litigation and enforcement proceedings. We will focus on some of the recurring substantive issues, e.g., what is materiality?, what is causation?, who is a "controlling person?" as well as procedural issues e.g. what is the current pleading standard?, how do presumptions operate?, how do class actions get settled? We will also look at the way in which the SEC enforces the securities law through civil actions and cease-and-desist proceedings. Satisfies the Writing Requirement.
